Terms of use

This Pabau Clinic Software Referral Program Agreement (“Agreement”) is entered into by Pabau Clinic Software and the referring party (“Member”). This Agreement sets the terms which govern our referral program (“Referral Program”). 

Members should read this Agreement carefully before participating in our Referral Program. By participating in our Referral Program, Members confirm they have read and understand this Agreement and agree to comply with its terms. If a Member does not agree to the terms of this Agreement, they must not participate in Pabau Clinic Software’s Referral Program.

1. Definitions

“Members” are active participants of the Referral Program who operate in compliance with the terms outlined in this Agreement.

“Referral link” is the unique link or URL provided by Pabau Clinic Software to Members that will correlate and track Referrals sent by each Member.

“Eligible Referrals” are anyone recommended by a Member through the Referral Program who signs up for a paid plan as a new customer. 

“Ineligible Referrals” include self-referrals, existing or former Pabau Clinic Software customers, or employees from an existing company in Pabau Clinic Software’s database.

“Valid Sales” are completed sales of Pabau Clinic Software Services originating through a Member’s unique Referral Link and transacted by an Eligible Referral.

“Referral Rewards” are gift cards, discounts, or other incentives offered to either Members or Referrals as part of the Referral Program.

2. Program Overview

Members participate in the Referral Program by distributing their unique Referral Link to their network. 

Pabau Clinic Software will provide Members with a unique Referral Link for the purpose of correlating any Valid Sale transacted by an Eligible Referral under this Agreement. A Valid Sale transacted by an Eligible Referral must always originate from a Member’s unique Referral Link to qualify for Referral Rewards.

3. Referral Program Rewards

Referral Rewards are issued to Members and Referrals in accordance with the guidelines in this Agreement. 

Referral Reward and their equivalent value will be determined based on the country where the Member or Eligible Referral is located. 

Member Reward

Pabau Clinic Software will issue Members a one-time Referral Reward for each Eligible Referral they send resulting in a Valid Sale. Provided the Members meet all requirements set forth by this Agreement, they are entitled to a Referral Reward each time the requirement is met. 

A Member’s unique Referral Link includes a tracking cookie that lasts for 90 days after it’s clicked. 

Referral Reward

Eligible Referrals who transact a Valid Sale through the Referral Program are entitled to a one-time Referral Reward automatically redeemable at the point of sign up for any plan.

The Referral Reward cannot be used in conjunction with any other offer, discount or promotion.

4. Prohibited Uses

Members may only use our Referral Program in good faith for lawful purposes. Members may not:

  1. Use alternative contact information to refer themselves or others who have created duplicate accounts; 
  2. Use the Referral Program in:
    • Any way that breaches applicable local, national, or international law or regulations; 
    • Any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect; or
    • In any way that contravenes any other agreements we have with the Member, including our Customer Agreement and Acceptable Use Policy;
  3. Promote their referral link using paid ads; 
  4. Transmit any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation that can be considered as damaging to Pabau Clinic Software; or
  5. Do anything that can be seen as damaging to Pabau Clinic Software.

5. Abuse of the Referral Terms

Pabau Clinic Software has the right to refuse Members the Referral Reward if it sees valid reason to believe the Member has not used the Referral Program in good faith or has breached this Agreement. 

When a breach of this Agreement has occurred, Pabau Clinic Software may take such action as deemed appropriate, including, but not limited to, termination of this Agreement and closing the Member’s account.

6. Limitation of Liability

Pabau Clinic Software accepts no liability for any use of the Referral Program that does not comply with this Agreement.

7. Changes to the Referral Program

Pabau Clinic Software reserves the right to:

  1. Change or update the terms of the Referral Program, this Agreement, and the Referral Reward at any time, without notice; 
  2. Revoke a Member’s account or terminate a Member’s participation in the Referral Program; or
  3. Terminate the Referral Program at any time, without notice. 

In the event the Referral Program is terminated, Pabau Clinic Software will transfer any pending Referral Rewards that were earned by Members prior to the termination date.

These changes will always be made available in writing and accessible to the Members. Members continued use of the Referral Program effectively amounts to acceptance of the Agreement in force at that time.

8. Applicable Law

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the law of England.
